Client declarations and release of liability

I hereby certify that I do not suffer from any physical or mental disability that might affect my participation in the coaching process, and, if I have any substance abuse problem or mental illness, I have consulted with my physical and other healthcare professional and been advised that I may participate in the coaching process without risk. I agree that if there is any change in this representation, I will promptly advise the coach.

 

I agree that, in the event if any claim or grievance by me against Daphne Valcin Coaching or Daphne Valcin by sole remedy will be the return of the fees paid to Daphne Valcin Coaching. Daphne Valcin Coaching or Daphne Valcin are not responsible for any direct, indirect, incidental or consequential damages beyond the total amount of fees paid by the client.

 

Media Release

Daphne Valcin Coaching Inc. may from time-to-time share client success stories and client logo in marketing materials and media. Your signing this agreement signifies your permission for Daphne Valcin Coaching Inc. to share relevant stories associated with your results from coaching when Coach Valcin deems this information will not be breaching coach-client confidentiality. It also signifies that your likeness may be used for marketing purposes as well as for educational purposes for future programs. This agreement releases Daphne Valcin Coaching Inc., Coach Valcin, and any associated stakeholders from any liability associated with the use of your images or stories associated with your results.

 

Non-disclosure agreement

The following language protects Daphne Valcin Coaching Inc. from the duplication of Daphne Valcin Coaching materials or ideas without formal permission from Daphne Valcin Coaching.

 

During your business relationship with DAPHNE L. VALCIN and DAPHNE VALCIN COACHING, INC (hereinafter collectively referred to as “COMPANY”) and any time thereafter, to the fullest extent permitted by law, you (hereinafter collectively referred to as “Client”)  agree to keep confidential and never disclose, use, misappropriate, or confirm or deny the veracity of, any statement or comment concerning DAPHNE L. VALCIN and COMPANY, or any of her/its Confidential Information.

 

The phrase 'Confidential Information' as used in this policy, includes but is not limited to, any and all information which is not generally known to the public, related to or concerning: (a) DAPHNE L. VALCIN and/or her business or private life; (b) the business activities, dealings or interests of COMPANY and/or its officers, directors, affiliates, employees or contractors; (c) COMPANY's employment practices or policies applicable to its employees and/or contractors; and, any confidential information, knowledge and know‐how, concerning the operations, products, services, procedures, or customers of COMPANY, in any format whatsoever, including, without limitation, the techniques, formulations, organization, design, implementation, preparation and other operations, methods, and accumulated experiences incidental thereto, and further including, without limitation, information relating to marketing techniques, advertising, policies, procedures, promotions, customer lists, membership lists, mailing lists, registration cards, sales records, concepts, ideas, trade secrets, other proprietary information, training materials, teaching aids, and/or research of COMPANY.  Further, any and all Confidential Information which by its nature is confidential or which COMPANY, in its sole and absolute discretion, designates as such shall be deemed Confidential Information for purposes of this Agreement.

 

If for some reason, you as a client engage in creating works for COMPANY, you agree that any and all works created for COMPANY during the tenure of this relationship shall remain the property of COMPANY, created for the purposes of the COMPANY.  Any works copyrighted, ideas, discoveries, inventions, patents, products, or other information (collectively, the "Work Product") developed in whole or in part by or for COMPANY in connection with this relationship shall be the exclusive property of COMPANY. Upon request, Client shall sign all documents necessary to confirm or perfect the exclusive ownership of COMPANY to the Work Product. COMPANY also agrees to review and sign a Non-Disclosure Agreement if COMPANY agrees to agreement terms for Client concerning Client works if Client desires such.

 

Client’s obligations hereunder shall survive termination or expiration of this agreement until such time as all Confidential Information disclosed hereunder becomes publicly known and made generally available through no action or inaction of Client.

 

This Agreement shall bind and inure to the benefit of the parties hereto and their successors and assigns, except that Confidential Information and the rights and obligations under this Agreement may not be assigned by Client without prior written consent of the COMPANY. This document contains the entire agreement between the parties with respect to the subject matter hereof, and may not be amended, nor any obligation waived, except by a writing signed by both parties hereto. Any failure to enforce any provision of this Agreement shall not constitute a waiver thereof or of any other provision. This Agreement shall be governed by and construed and enforced in accordance with the laws of the State of Florida excluding that body of law pertaining to conflict of law, and the parties hereto agree to submit to the exclusive jurisdiction of the courts of Florida any disputes arising out of the subject matter.
